Parent Terms and Conditions

Information about how Aoden Learning operates and the standards that apply to our online tutoring service.

Last Updated: September 2026

1 Introduction and About
Us

Welcome to Aoden Learning. These terms and conditions form the
agreement between you and us for the provision of online tutoring
services. In this document, “we”, “us” and “our” refer to Aoden Learning
trading under i-Creatives Ltd. We are a limited company registered in
England and Wales under company number 06337525. Please contact us for
registered office details, we are based in London.

In this document, “you” and “your” refer to the parent, guardian or
adult booking the tuition. Please read these terms carefully before
booking any lessons.

2 Registration and
Bookings

Joining our waiting list or making an inquiry is free and does not
commit you to paid tuition. Before you agree to paid lessons, we will
provide the subject, lesson length, timetable, total price including any
applicable taxes, payment arrangement fees and any other costs.

A paid booking becomes binding when you accept those details and we
confirm the booking in writing. We will send a copy of the terms and
booking confirmation by email or another format you can retain. Any
recurring timetable and its start date must be expressly agreed;
attending a trial does not create a recurring paid booking.

3 Your Free Trial

The trial is a free 30 minute online lesson to help assess the
student needs and suitability of the tutor match. There is no obligation
to continue. Please tell us promptly if you cannot attend. A missed or
cancelled free trial does not attract a fee; any replacement trial is
subject to availability. Paid lessons require a separate agreement under
section 2.

4 Payment
Arrangements

Regular lessons are invoiced monthly in advance. We normally send the
invoice at least seven calendar days before the first lesson. Payment is
due before that first lesson. The invoice lists the lessons being
charged; the amount may vary with the number of scheduled lessons. We do
not charge for holidays or breaks that were agreed before invoicing.
Please provide a minimum 72 hours notice.

Invoices and payment instructions are provided through our management
service, with notifications to your registered contact details. We
confirm the payment method, payment provider and deadline before you
accept a paid booking. Never send card details in messages. Any
automatic payment arrangement requires clear collection information and
separate authorisation; accepting these terms alone does not authorise
automatic collection.

If payment fails or is overdue, we will contact you and give you a
reasonable opportunity to resolve it before suspending future lessons.
We will confirm any suspension. We do not charge for lessons that we
suspend or add an automatic late payment penalty. Please raise an
invoice dispute promptly; we will review it fairly and distinguish the
disputed amount from any undisputed amount.

5
Cancelling or Rescheduling Individual Lessons

With at least 24 hours notice before the scheduled start, you may
cancel without charge or request another time, subject to availability.
Prepaid amounts for a timely cancellation can be refunded or, if you
prefer, credited to another lesson. A credit does not expire
automatically while it remains owed to you, unless you terminate
tutoring services with Aoden Learning.

With less than 24 hours notice, or if the student does not attend, we
may charge for our reasonable net loss caused by that cancellation, up
to the price of the lesson. We will take reasonable steps to reduce the
loss and deduct costs saved or income recovered by filling the slot. We
do not charge twice for the same loss.

A late rescheduling request is treated as a cancellation of the
original time and a request for a new booking. We will tell you of any
charge before you accept the replacement lesson. Tell us about sudden
illness or an emergency as soon as reasonably possible; we may consider
a waiver or reduction fairly in the circumstances.

Send cancellation or rescheduling requests through the management
service or to info@aodenlearning.uk. Notice counts when it reaches
either channel, not when we read it. We will acknowledge it; if the
service is unavailable or delivery fails, use email. These rules do not
override section 6.

6 Your Statutory Right
to Cancel

For a paid service contract agreed online, by email or by telephone,
you normally have 14 days after the day the contract is made to cancel
without giving a reason. This is separate from the notice rules for
individual lessons. We provide this right for our paid online tuition
agreements.

To cancel, send a clear statement through the management service,
email info@aodenlearning.uk, or write to our correspondence address. You
may use the form at the end, but do not have to. Sending your
cancellation before the period expires is sufficient. We will
acknowledge it by email or another durable medium.

If you want lessons to start within those 14 days, we will obtain
your express request before starting. If you then cancel within the
period, you will pay only a proportionate amount for the service
actually supplied before you told us to cancel, provided we gave the
required information and obtained your express request. We will not
apply the ordinary late cancellation fee to the unused part of a
contract cancelled under this right.

You lose the right to cancel within the period only once the whole
contracted service has been fully performed, and only if you expressly
requested early performance and acknowledged beforehand that full
performance would end that right. Completing the first lesson of an
ongoing tuition arrangement does not by itself meet that condition.

If we did not obtain the required early start request or provide the
required information, you will not be charged for service supplied
during the cancellation period where the law prohibits that charge.
Failure to provide cancellation information can extend the cancellation
period, potentially by up to 12 months.

We will make any refund due under this section without undue delay
and within 14 days of being informed of your decision, using the
original payment method unless you expressly agree otherwise. No refund
fee applies. Your statutory rights are not reduced by any other
provision of these terms.

7 If Aoden or Your Tutor
Cancels

If we cancel or the tutor fails to attend, you may choose a
replacement lesson at a mutually suitable time or a full refund for the
affected lesson. You do not have to accept a credit. We will tell you as
soon as practicable and will not charge you a cancellation fee.

If your tutor becomes unavailable long term, we will discuss a
replacement with you. You do not have to accept a different tutor. If no
suitable arrangement is agreed, you may end the affected tuition and
receive a refund for unused lessons. Unless a shorter legal deadline
applies, refunds under these terms will be made within 14 days after the
refund becomes due.

8 Taking Part in Online
Lessons

Tuition is online only, with lessons accessed through our secure
messaging and management service, Tutor Bird (the management service).
We provide account access, joining instructions and equipment
requirements before booking. Students need a suitable device, working
audio, any agreed camera arrangements and a reliable internet
connection. Tell us about accessibility needs so we can consider
reasonable adjustments.

Please join on time, dress appropriately and use a suitable,
distraction free setting. Keep joining links and account credentials
private. We will agree any necessary adjustments to video use or the
learning environment, but do not pay for any additional equipment
required by the student. Students should have the materials requested
for the lesson and attempt agreed work between sessions where reasonably
possible.

If the student arrives late, the lesson will normally end at the
agreed time and the booked fee remains payable, subject to any fair
adjustment. If the tutor is late, we will provide the lost time at an
agreed time. A tutor will attempt to contact the parent if a student
under 18 is unexpectedly absent.

Report connection problems promptly. If a fault affecting Aoden, the
tutor or our chosen platform prevents usable teaching, we will replace
the lost teaching time or refund that portion. If the problem is at the
student end, we will first try reasonable troubleshooting or an agreed
alternative. Any retained fee for unusable time will be assessed fairly
by reference to the circumstances and our reasonable net loss, capped at
the affected lesson price.

9 Communication and
Progress Reports

Tutor Bird is our main system for bookings, online lesson access,
attendance, routine messages, lesson notes, progress reports and billing
administration. Use your own authorised login and keep it private.
Company email remains available for enquiries, formal notices and an
approved fallback if the service is unavailable.

Routine tutor communications with learners under 18 must use an Aoden
Learning approved route that allows parent or carer and authorised Aoden
Learning oversight. We explain account permissions and who can access
messages during onboarding. If the service cannot support this for a
message or reply, use company email with the parent or carer and Aoden
Learning if re copied. Do not move conversations to private accounts.
Messages are not continuously monitored. Safeguarding reports use the
restricted route in section 10.

We provide written progress reports through the management service,
including half term reports if required. Reports explain topics covered,
progress and next steps. Let us know if you need an accessible
alternative.

10 Student Welfare

For a student under 18, the booking adult must have authority to
arrange tuition and provide accurate parent or carer and emergency
contact details. Please provide a second emergency contact where
possible and relevant learning, health or support information needed for
safe participation. Tell us promptly about changes and ensure we can
establish the student location if an emergency occurs during a
lesson.

For lessons involving students under 18, a responsible adult should
be contactable throughout. Any need for an adult to be physically nearby
will be agreed according to the student age and needs. Online tuition is
not a childcare service, but Aoden Learning and its tutors retain their
own safeguarding responsibilities.

Raise concerns directly with our Designated Safeguarding Lead: Ishan
Shah. You can contact him by email at info@aodenlearning.uk, Do not put
confidential safeguarding details in routine messages or parent visible
lesson notes. If someone is in immediate danger, call 999. The
management service and email are not emergency response services.

We may share necessary information with appropriate safeguarding
agencies when lawful and needed to protect a child or another person. We
will usually involve parents where appropriate, but may act without
consent or prior notice if involving them could increase risk or
prejudice an enquiry. Our separate Safeguarding Policy explains the
reporting process.

11 Recording and
Personal Information

Aoden Learning does not record lessons. Tutors,
students and parents must not record lesson audio or video, take
screenshots of participants, or use automated recording, stored
transcription or artificial intelligence meeting notes. Agreed non
stored live captions may be used for accessibility. This rule does not
prevent lawful reporting of concerns.

We keep appropriate attendance records, educational notes and
progress reports. Our separate Privacy Notice explains the purposes and
legal bases for processing personal information, access, service
providers, retention and your rights. Acceptance of these terms is not
blanket consent to data use, marketing or publicity. Any optional
marketing permissions are requested separately.

12 Teaching Standards
and Concerns

We will provide tuition with reasonable care and skill and in
accordance with the service description agreed with you. We cannot
guarantee a particular grade, exam result or admission outcome. That
does not limit our responsibility for the quality of the service we
promise.

Tell Aoden promptly if the tutor match or teaching is not meeting the
agreed needs. We will discuss a suitable response, which may include
changes to teaching or a replacement tutor. If we have not provided the
service as required, your statutory rights may include repeat
performance at no cost, within a reasonable time and without significant
inconvenience, or an appropriate price reduction, potentially a full
refund.

Please send service complaints to info@aodenlearning.uk. Proposed
service target: acknowledgement within two working days and a
substantive response within ten working days. If more time is needed, we
will explain why and give an update date. Safeguarding concerns follow
section 10. You remain free to use your statutory remedies and seek
independent advice.

13 Ending
Tuition and Changing Arrangements

You may end ongoing tuition by notifying us through the management
service or company email info@aodenlearning.uk. There is no separate
exit fee or minimum term under the proposed arrangement. Lessons
cancelled with at least 24 hour’s notice are not charged; later
cancellations are assessed under section 5, subject to section 6. We
refund unused advance payments after deducting only amounts properly
due.

We may pause a lesson immediately where necessary to address a
serious safety concern or abusive behaviour. We will explain our next
steps as far as it is safe and appropriate to do so. Any charge for an
interrupted lesson will be assessed fairly; there is no automatic
forfeiture of unused payments.

For a remediable breach, we will normally explain the issue and allow
a reasonable opportunity to resolve it before ending tuition. If we can
no longer provide the service for another reason, we will give
reasonable notice. We will refund payments for future lessons we do not
provide.

We will not change the price or material terms of a confirmed booking
without your agreement. For future recurring bookings, we propose at
least 30 days written notice of material changes, with the option to end
tuition before they take effect without an exit fee. We will explain
changes to our management service or lesson arrangements and provide
updated privacy information where needed. Urgent safeguarding or legal
changes will be explained promptly and do not remove statutory
rights.

14 Materials and
Academic Integrity

Learning materials remain the property of their respective owners –
tutors and Aoden Learning. You may use materials we are entitled to
supply for the student personal study but must not sell or publicly
redistribute them without permission. Tutors may guide learning and exam
preparation, but will not complete assessed work on a student behalf or
help with cheating.

15 Responsibility and
Applicable Law

We are responsible for foreseeable loss or damage caused by our
breach of this agreement or failure to use reasonable care and skill.
Nothing in these terms excludes or restricts liability that cannot
lawfully be excluded, including for death or personal injury caused by
negligence, fraud, or your statutory consumer rights. Using
self-employed tutors or third-party platforms does not remove our
responsibilities to you.

If an event outside our reasonable control disrupts lessons, we will
contact you and take reasonable steps to limit the disruption. You may
choose rescheduling or a refund for lessons we cannot provide. We will
not require payment for undelivered tuition simply because the
disruption was outside our control.

Proposed governing law: England and Wales. If you live elsewhere in
the UK, you keep the mandatory consumer protections and rights to bring
proceedings in the courts of your home jurisdiction. If a provision is
unenforceable, the remaining provisions continue where legally possible.
These terms do not prevent you from contacting regulators or
safeguarding authorities.

other clear statement of cancellation.
